3. User Accounts and Responsibilities

4. Intellectual Property Rights

4.1 TantranZm Intellectual Property

4.2 Client-Owned Intellectual Property

Unless otherwise specified in a service agreement, intellectual property rights in deliverables created specifically for clients shall be governed by the terms of the applicable contract. Typically, clients retain ownership of custom-developed solutions, while TantranZm retains rights to pre-existing tools, frameworks, and methodologies.

4.3 User-Submitted Content

When you submit content (such as job applications, feedback, or inquiries) through our website, you grant TantranZm a non-exclusive, royalty-free license to use, reproduce, and process such content for the purposes of providing our services and improving our offerings.

5. Service Agreements and Contracts

5.1 Engagement Terms

Professional services provided by TantranZm are governed by separately executed service agreements, statements of work (SOW), or master services agreements (MSA). These agreements specify:

6. Payment Terms

• All prices are in Indian Rupees (INR) or US Dollars (USD) as specified
• Prices exclude applicable taxes, which will be added as required by law
• Payment terms are typically Net 30 days from invoice date unless otherwise agreed

6.2 Late Payment

Overdue invoices may incur late payment charges of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments exceeding 30 days.

6.3 Refunds

Refund policies are governed by individual service agreements. Generally, payments for completed work or services rendered are non-refundable unless otherwise specified in the contract.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. This includes:

• Business plans, strategies, and financial information
• Technical specifications, source code, and algorithms
• Client data and project-specific information
• Any information marked or reasonably understood to be confidential

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or to authorized service providers under appropriate confidentiality agreements.

8. Data Protection and Privacy

TantranZm is committed to protecting your personal data in accordance with the Digital Personal Data Protection Act (DPDPA) 2023 and other applicable privacy laws. By using our services, you consent to the collection and processing of your personal data as described in our Privacy Policy.

For candidates submitting job applications, you acknowledge that your information will be retained in our recruitment database for current and future employment opportunities in accordance with our Privacy Policy.

For clients, we guarantee that your project data is processed exclusively by TantranZm's internal teams without sharing or processing through external third parties, ensuring maximum confidentiality and security.

9. Warranties and Disclaimers

9.1 Service Warranties

TantranZm warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties related to deliverables are outlined in individual service agreements.

9.2 Website Disclaimer

Our website and informational content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

• The website will be uninterrupted, error-free, or secure
• Information provided is accurate, complete, or current
• Defects will be corrected
• The website is free of viruses or harmful components

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• TantranZm's total liability for any claims arising from services shall not exceed the fees paid by the client for the specific services giving rise to the claim in the 12 months preceding the claim
• We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, revenue, or data
• These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)

Specific liability provisions in individual service agreements shall supersede these general terms.

11. Indemnification

You agree to indemnify, defend, and hold harmless TantranZm Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms of Service
• Your violation of any applicable laws or third-party rights
• Your use or misuse of our services
• Content you submit or transmit through our services

12. Termination

12.1 Termination by User

You may terminate your use of our website or services at any time. Active service engagements are subject to termination provisions in the applicable service agreement.

12.2 Termination by TantranZm

We reserve the right to suspend or terminate your access to our services immediately, without notice, for:

• Violation of these Terms of Service
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Conduct that damages TantranZm's reputation or interests

12.3 Effect of Termination

Upon termination:

• You remain liable for all outstanding fees and obligations
• Provisions regarding confidentiality, intellectual property, and liability survive termination

13. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Faridabad, Haryana, India.

13.3 Arbitration

For commercial disputes exceeding INR 10,00,000 (Ten Lakh Rupees), parties agree to attempt resolution through binding arbitration under the Arbitration and Conciliation Act, 1996, before resorting to litigation. The arbitration shall be conducted in Faridabad, Haryana, India, in the English language.

14. Force Majeure

TantranZm shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, internet or telecommunications failures, or power outages.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and TantranZm regarding the use of our services.

15.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or via email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. TantranZm may assign these Terms to any affiliate or successor entity.
